Jurisdiction/Forum and Severability

Users of this Site shall be bound by all applicable Federal laws of the United States of America and the laws of the State of Delaware. The applicable Delaware Federal or State Court shall have exclusive jurisdiction for any action or dispute arising out of these Terms of Use or use of this Site. In the event that any portion of these Terms of Use is determined by a judicial body to be unenforceable, that portion shall be deemed modified as necessary to make it effective, and the remaining provisions of these Terms of Use shall remain in effect.

USA Patriot Act

Information: As a regulated financial services institution, Advisors is subject to the requirements of the USA Patriot Act. USA Advisors does not maintain accounts on behalf of the investors that it contacts regarding investment opportunities. The client in all CDX investment banking transactions is the company issuing securities or evaluating strategic alternatives. However, Advisors believes that it is the entity best positioned in the transaction to fulfill the important obligation of verifying the identity of the investor to ensure that criminal or terrorist elements to not access the US financial system through a transaction in which Advisors served as placement agent or strategic advisor. Therefore, in the event that you participate in a financial transaction in which Advisors plays a role, you will be asked to provide certain information that Advisors will use to verify your identity. Advisors may also ask you to provide copies of certain documents, such as articles of incorporation or other formation documents to assist in this important verification process.
